Subject: Intimation under Regulations 29 and 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”)

This is to inform you that a meeting of the Board of Directors of the Company is scheduled to be held on Wednesday, October 15, 2025, inter alia, to consider and, if thought fit, to consider the proposal of fund raising through issuance of convertible equity warrants and ancillary actions in this regard, through preferential issue under the applicable laws, rules and regulations, and subject to the requisite regulatory/ statutory approvals, and the approval of the shareholders of the Company.

It may be noted that as per the Company’s Board approved Code of Practices and Procedures for Fair Disclosure of Unpublished Price Sensitive Information (“Code”), the Company declares receipt of any new project, exceeding the materiality threshold, only upon receipt of Letter of Award (LoA). However, pursuant to the proposed corporate action being placed before the Board, as a matter of transparency with all our stakeholders, as a one-time measure, the Company is voluntarily disclosing its L1 bidder status in the following projects:-

1. Construction of 6-Lane Partially Elevated Highway Corridor along with improvement of existing road from Km. 10+600 to Km. 64+000 (Section Pune to Shirur of NH-753F – Minimum Design Length 53.40 Km) in the State of Maharashtra on DFBOT (Toll) Mode, with concession period of 29 years. The said project is a Ministry of Road Transport and Highways (“MoRTH”) project where-in Maharashtra State Infrastructure Development Corporation (Client) is the implementing agency & Concessionaire and we are the Sub-concessionaire. The Total Project Cost is ~Rs. 7,300 Crore with the construction period of 4 years from the appointed date. The Company emerged as the lowest bidder on the basis of NPV of projected toll revenue during Concession period on October 03, 2025; and

2. Development of new 910 MLD Water Treatment Plant including Civil, Mechanical, Electrical & Instrumentation works at Panjrapur, Maharashtra, by Brihanmumbai Municipal Corporation for a Design Build and Operate Contract. The Project is to be designed and constructed within a period of 48 months and is to be comprehensively Operated and Maintained (O&M) for a period of 15 years thereafter. The bid value of the project cost including GST is ~Rs. 3,145 Crore which includes the O&M and asset replacement during the contracted period. This project is proposed to be executed with Veolia Water Technologies, Malaysia, as our technology partner. The Company emerged as lowest bidder on October 08, 2025.

The Company shall update the stock exchanges upon receipt of LoA in accordance with its Code.

It is further informed that the UPSI entry related to the above projects has been duly made in the Structured Digital Database, and the trading window for all the designated persons remains closed from October 01, 2025, in accordance with the SEBI (Prevention of Insider Trading) Regulations, 2015.
