ANNOUNCEMENT IN RELATION TO PROPOSED AMENDMENTS TO THE MEMORANDUM AND ARTICLES OF ASSOCIATION OF THE COMPANY
This announcement is made pursuant to Rule 13.51(1) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the "Listing Rules").
The board (the "Board") of directors (the "Director(s)") of Weimob Inc. (the "Company") proposed to: (i) make certain amendments (the "Proposed Amendments") to the existing memorandum and articles of association of the Company (the "Existing M&A"), for the purpose of, among others, (a) aligning the Existing M&A with the amendments to the Listing Rules in relation to the further expansion of the paperless listing regime; and (b) incorporating certain corresponding and housekeeping amendments into the Existing M&A and (ii) adopt the third amended and restated memorandum and articles of association of the Company incorporating and consolidating the Proposed Amendments (the "Third Amended and Restated Memorandum and Articles of Association"). Please refer to the Appendix to this announcement for details of the Proposed Amendments.
The Proposed Amendments as well as the adoption of the Third Amended and Restated Memorandum and Articles of Association are subject to approval by the shareholders of the Company by way of a special resolution at the annual general meeting of the Company. A circular of the Company containing, among others, detailed information of the Proposed Amendments as well as the adoption of the Third Amended and Restated Memorandum and Articles of Association will be published and sent in due course to shareholders who have indicated a wish to receive a printed copy.
