Cleansing notice under Section 708A of the Corporations Act

Weebit Nano Ltd (the “ Company ") issued 578,000 fully paid ordinary shares in the capital of the Company, (“ Shares” ) on 5 March 2020, issued as part of conversion of Employee’s and Director’s performance rights, without disclosure to investors under Part 6D.2 of the Corporations Act 2001 (Cth) (the " Corporations Act "). The Company also applied for quotation of the Shares on the ASX as at 5 March 2020.

An appendix 2A in respect of the issue has been lodged with the ASX.

Accordingly the Company gives notice under section 708A (5)(e) of the Corporations Act that:

1. the Shares were issued by the Company without disclosure to investors under Part 6D.2 of the Corporations Act;

2. as at the date of this notice the Company has complied with:

3. (a) the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and

4. (b) section 674 of the Corporations Act; and

5. as at the date of this notice there is no "excluded information" within the meaning of sections 708A(7) and 708A(8) of the Corporations Act which is required to be disclosed by the Company under section 708A(6)(e) of the Corporations Act.
