NOTICE OF CHANGE IN SHARE CAPITAL

(pursuant to Art. 85-bis of the Regulations adopted by Consob Resolution No. 11971 dated 14th May 1999, as amended, and Art. 2.6.2, paragraph 1, letter a), of the Market Regulations both organised and managed by Borsa Italiana S.p.A.)

AND OF THE TOTAL AMOUNT OF VOTING RIGHTS

(pursuant to art. 127-quinquies of Legislative Decree 58/1998 and art. 85-bis, paragraph 4-bis, of the CONSOB Issuers' Regulation)

Milan, October 7, 2025 - Webuild S.p.A. hereby announces the new composition of the share capital (fully subscribed and paid-up) and the total amount of voting rights, as of September 30, 2025, following:

  • (i) the issue, in relation to the resolutions adopted by the Extraordinary Meeting of WEBUILD S.p.A. of April 30, 2021, of a total of 28,545 Webuild ordinary shares, as a result of the partial exercise of the 2021-2030 Webuild S.p.A. Warrants ("Anti-Dilution Warrants");
  • (ii) the cancellation of the increased voting rights relating to a total of 604,886 Webuild ordinary shares.

Indeed, following the issue sub (i), the share capital is still equal to 600,000,000 Euros, currently divided into 1,019,296,984 shares without express nominal value, of which 1,017,681,493 are ordinary shares and 1,615,491 are savings shares.

The updated Articles of Association, pursuant to the foregoing, alongside the certificate pursuant to Art. 2444 of the Italian Civil Code were filed today with the Milan - Monza Brianza - Lodi Business and Trade Registry.

The current composition of the share capital and the total amount of voting rights is shown below, highlighting the changes compared to the previous share capital.
