- Sub: Allotment of 12,10,000 convertible warrants on a preferential basis to M/s WEBSOL GREEN PROJECTS PRIVATE LIMITED, forming part of the Promoters / Promoter Group of Websol Energy Systems Limited (“Company”) on a preferential basis under the provisions of Chapter V of the SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2015, as amended (“SEBI ICDR Regulations”) and sections 62 and 42 of the Companies Act, 2013 (including the rules made thereunder)
Dear Sir / Madam,
Pursuant to the receipt of In-principle approval from both National Stock Exchange of India Limited and BSE Limited on 12[th] September, 2024 and 13[th] September, 2024 and approval of shareholders of the Company at its Extra-Ordinary General meeting held on 11[th] May, 2024 and receipt of an upfront payment of 25% of total consideration subject to outstanding loan amount to the Company, as per the terms of the preferential issue, we hereby inform you that the Board of Directors of the Company at their meeting held today i.e., 21[st] September, 2024 have allotted 12,10,000 (Twelve Lakh Ten Thousand) convertible warrants at a price of Rs. 530/- each warrant (convertible at a ratio 1:1 into equity shares of face value of Rs. 10/- each at a premium of Rs. Rs. 520/- per equity share) to M/s Websol Green Projects Private Limited, Promoter Group of the Company, in compliance with Chapter V of Securities & Exchange Board of India (Issue of Capital & Disclosure Requirements) Regulations, 2018 and Section 62 & 42 of the Companies Act, 2013.
Pursuant to the aforesaid allotment of the convertible warrants there will be no change in the in the paid-up equity share capital of the Company.
The meeting commenced Saturday, 21[st] September, 2024 i.e today at 2:00 P.M and concluded at 2.15 P.M today.
