• Sub: Intimation of Board Meeting for allotment of 1500000 convertible warrants on a preferential basis under the provisions of chapter V of the SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2015, as amended (“SEBI ICDR Regulations”) and sections 62 and 42 of the Companies Act, 2013 (including the rules made thereunder)

This is in reference to the captioned matter, we would like to inform that pursuant to the approval received from the shareholders of the Company in EGM held on 25.03.2021 and In-principle approval from both BSE Limited and the National Stock Exchange of India Limited vide their letters no. DCS/PREF/PB/PRE/1311/2021-22 and NSE/LIST/26803 both dated 30[th] June, 2021 respectively, a meeting of the Board of Directors of the Company will be held on 05.07.2021, Monday, at the Registered Office at 12:00 pm. to allot 1500000 Convertible Warrants of Rs. 50/- each (convertible into equity shares of face value of Rs. 10/- each at a premium of Rs. Rs. 40/- per equity share) on Preferential Basis Mr. Sohan Lal Agarwal, Promoter Director of the Company, in compliance with Chapter V of Securities & Exchange Board of India (Issue of Capital & Disclosure Requirements) Regulations, 2018 and Section 62 & 42 of the Companies Act, 2013.
