Sub: Disclosure to Stock Exchange for Outcome of the Board Meeting

This is to inform you that upon receipt of 75% money towards 10 Lakh Convertible Warrants along with request letter from Mr. Sohan Lal Agarwal, the Promoter Director of the Company, for the allotment of equity shares of the Company in lieu of Convertible Warrants allotted to him on 05.07.2021, the Board of Directors in their meeting held on today, Le., Friday, 23.07.2021, have approved and allotted 10,00,000 equity shares of the Company to him pursuant to conversion of 10,00,000 Convertible Warrants of face value of Rs. 10/- each, issued at a price of Rs. 50/- each warrant (convertible into equity shares of face value of Rs. 10/- each at a premium of Rs. 40/- per equity share), on private placement basis and authorized the Directors and Company Secretary to complete the process with BSE Ltd., National Stock Exchange of India Limited, NSDL, CDSL and ROC for listing of shares.

Post- allotment, the issued, subscribed and paid-up equity share capital of the Company stands increased to Rs. 32,14,32,680/- divided into 32143268 equity shares of face value of Rs. 10/- each fully paid-up.

Further in compliance with Regulation 29 of the SEBI LODR Regulations, 2015 we would also like to bring to your kind notice that a meeting of the FCCB Committee of Directors will be held on Saturday, 24th July, 2021 at 1.00 p.m. to approve the conversion of 2037824 FCCBs into equity shares of the Company.

The board meeting commenced at 12:00 noon and concluded at 12.20 p.m.
