Resignation of Managing Director and CEO

On 30 March 2026, Webjet Group Limited (ASX:WJL) (Webjet or the Company) announced that Ms Katrina Barry had resigned from her role as Managing Director and Chief Executive Officer (MD). Ms Barry's last day with Webjet will be 31 May 2026. Ms Barry will also resign as a director of Webjet effective on that date.

The Company and Ms Barry have entered into a consultancy agreement to secure the assistance, cooperation and support of Ms Barry in connection with any transitional arrangements in respect of which Ms Barry can assist the Company after 31 May 2026.

The material terms of the consultancy agreement are disclosed in the Schedule.

Ms Barry led the Group during a pivotal period, including the successful demerger and ASX listing of Webjet Group and the development of a new Strategic Growth Plan. The Board thanks Ms Barry for her leadership, dedication and efforts.

Leadership Transition

The Company has appointed Mr Layton Shannos in the role of Acting Chief Executive Officer (Acting CEO) effective 1 June 2026.

Mr Shannos has more than 12 years' leadership experience across senior finance and corporate roles within Webjet, including as Chief Financial Officer of Webjet OTA, before transitioning to Group Chief Financial Officer of the Company following the demerger, a role he has held for the past two years. He joined Webjet in 2013 and has played a key role in financial management and corporate development activities.

Prior to joining Webjet, Mr Shannos spent over four years at KPMG. He is a Chartered Accountant and holds a Bachelor of Commerce as well as an MBA from Melbourne Business School.

The Board believes Mr Shannos' extensive experience with the Company and strong understanding of its operations and financial position will ensure continuity of leadership during the interim period.

The Board is progressing its search to secure a permanent successor for the CEO & MD role and will provide an update to the market in due course.

Consultancy Agreement

Webjet Group Limited (Webjet) has entered into a consultancy agreement with FLOE Consulting Pty Ltd ABN 636 304 684 14 (FLOE) a company associated with Ms Katrina Barry, former Managing Director and CEO of Webjet.

  • Services: Under the Agreement, FLOE (through Ms Barry) will provide consultancy services to WJL and any Group entity, including without limitation, assistance with transitional arrangements following the termination of Ms Barry's employment, matters relating to certain legal proceedings initiated against Webjet Marketing Pty Ltd (a wholly-owned subsidiary), and any other matters in which Ms Barry can reasonably assist by reason of her former role.
  • Term: The arrangement commences on 1 June 2026 and continues until 1 July 2027, unless terminated earlier or extended by mutual agreement.
  • Hours and Fees: FLOE is required to make Ms Barry available for not less than 300 hours and no more than 450 hours during the term. The consultancy fee is $650 per hour (exclusive of GST), plus approved expenses.
  • Minimum Payment: If the arrangement is terminated without cause or expires on 1 July 2027 and fewer than 300 hours have been provided, Webjet will pay FLOE for the shortfall at $650 per hour. The minimum amount payable under the Agreement (assuming no termination for cause) is $195,000 (exclusive of GST).
  • Termination: Webjet may terminate the arrangement on not less than 10 business days' written notice. Webjet may also terminate immediately in specified circumstances, including material breach, fraud, serious misconduct, insolvency of FLOE, unavailability of Ms Barry, or conduct likely to materially and adversely affect the reputation of Webjet or the Group.
  • Relationship: FLOE will provide the Services as an independent contractor. The arrangement does not create a relationship of employer and employee, principal and agent, trust, or partnership.
  • Governing Law: Victoria.
