Item 7.01 . Regulation FD Disclosure.

On March 14, 2012, Watsco, Inc., a Florida corporation (the “Company”) issued a press release announcing the execution of a definitive agreement with Carrier Corporation (“Carrier”), a unit of UTC Climate, Controls & Security, to acquire Carrier’s HVAC distribution operations in Canada. A copy of the Company’s press release is attached hereto as Exhibit 99.1 and is hereby incorporated by reference.
