Waterco is buying back the shares issued to S S Goh as prescribed by the rules of the CEO Share Plan	$1,175,000 being the outstanding amount of the Loan advanced by the Company when the Shares were purchased under the CEO Share Plan. The buy-back consideration was prescribed by the rules of the CEO Share Plan and has been offset against repayment of the Loan.
