MAJOR TRANSACTION IN RELATION TO THE BUSINESS COLLABORATION THROUGH FORMATION OF NEW JOINT VENTURES

Reference is made to the joint announcement (“Joint Announcement”) of Wang On Group Limited (“WOG”) and Wang On Properties Limited (“WOP”) issued on 12 June 2025 and the respective circulars of WOG and WOP dated 25 July 2025 in relation to, among other matters, (i) the disposal of 20% interests in the joint venture companies by WOP to limited partnerships, each of which is indirectly managed by Angelo, Gordon & Co., L.P. (“AG”); and (ii) the business collaboration between WOP and a limited partnership indirectly managed by AG through the formation of new joint ventures. Terms defined in the Joint Announcement have the same meanings when used herein unless otherwise stated.

The WOG Board and the WOP Board are pleased to announce that completion of the Disposal has successfully taken place, and all conditions precedent to the Business Collaboration have been fulfilled, on 26 August 2025.

As at the date of this joint announcement, the WOG Board comprises Mr. Tang Ching Ho, Ms. Yau Yuk Yin and Ms. Stephanie as executive directors; and Mr. Wong Chun, Justein, Mr. Siu Kam Chau and Mr. Chan Yung as independent non-executive directors.

As at the date of this joint announcement, the WOP Board comprises Mr. Tang Ho Hong, Ms. Ching Tak Won Teresa and Mr. Yiu Chi Man as executive directors; and Mr. Sung Tze Wah and Dr. Chan Ho Wah Terence as independent non-executive directors.
