Notice:

WAM Capital Limited (ASX: WAM) refers to its announcement today confirming the issuance of shares as consideration for all the issued capital of an unlisted investment company.

Yesterday, a total of 16,678,217 Ordinary Shares were issued (Shares), raising $36.3 million. The total number of WAM Capital Ordinary Shares on issue is 894,997,411.

• For the purposes of Section 708A(5)(e) of the Corporations Act 2001 (Cth), the Company gives notice that:

• The Shares were issued without disclosure to investors in accordance with Part 6D.2 of the Corporations Act 2001 (Cth).

• This notice is given under section 708A(5)(e) of the Corporations Act 2001 (Cth).

• As at the date of this notice, WAM Capital Limited has complied with:

• (a) the provisions of Chapter 2M of the Corporations Act 2001 (Cth) as they apply to it; and

• (b) Section 674 of the Corporations Act 2001 (Cth).

• As at the date of this notice, there is no excluded information (as defined in subsections 708A(7) and 708A(8) of the Corporations Act 2001 (Cth)) to be disclosed under section 708A(6)(e) of the Corporations Act 2001 (Cth).
