Sub: Disclosure under Regulation 31(1) & 31 (2) of SEBI (Substantial Acquisition of Shares and Takeover) Regulations, 2011

This is in continuation to our letter dated July 29, 2024. Vide this letter, the disclosure was made by promoter group companies namely M/s. Walchand Kamdhenu Commercials Private Limited, M/s. Walchand Great Achievers Private Limited and M/s. Walchand Chiranika Trading Private Limited for creation of encumbrance/ pledge over 1,05,44,765 equity shares of the company in favor of Catalyst Trusteeship Limited as Security Trustee to secure NonConvertible Debentures worth INR 74,00,00,000 issued under a Debenture Trust Deed dated July 18, 2024 and Pledge Agreement dated July 19, 2024.

We would like to inform you that though the encumbrance/ pledge under the above mentioned agreements were created, the pledge in the DP accounts were not created by July 19, 2024 due to existing pledge with Vistra ITCL (India) Limited on these shares and since ISIN of Walchandnagar Industries Limited was blocked for Trading Window Closure for the unaudited financial results for the quarter ending June 30, 2024, the pledge in DP accounts in favor of Catalyst Trusteeship Limited has now been created on August 13, 2024.

Please note that this disclosure of pledge is not regarding a fresh pledge of shares but just a perfection of pledge already disclosed on July 29, 2024.
