Subject: Outcome of Allotment Committee Meeting held on November 16, 2023

Allotment of 2,17,18,023 Equity Warrants

We would like to inform you that pursuant to Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, the Allotment Committee of the Board of Directors at their meeting held today i.e. November 16, 2023, have allotted 2,17,18,023 (Two Crore Seventeen Lakhs Eighteen Thousand and Twenty Three) equity warrants at a price of Rs. 114/- per warrant aggregating up to Rs. 2,47,58,54,622/- (Rupees Two Hundred and Forty Seven Crore Fifty Eight Lakhs Fifty Four Thousand Six Hundred and Twenty Two only) convertible into equal number of equity shares within a period of 18 (Eighteen) months from the date of allotment of the Warrants to the allottees as disclosed in Annexure I, on Preferential Basis in accordance with the special resolution passed by the shareholders through E-voting on November 03, 2023 and pursuant to the In-Principle approval received from BSE Limited vide their letter number LOD/PREF/VK/FIP/828/2023-24 dated November 03, 2023 and National Stock Exchange of India Limited vide their letter number NSE/LIST/37917 dated November 03, 2023. The details of allotment to allottees and pre and post allotment effect of the same are attached herewith as Annexure I.

An amount equivalent to 33.33% of the Warrant Issue Price has been received upfront by the Company of each Warrant in cash and through conversion/appropriation of existing debt of the promoters entities and the balance 66.67% shall be payable by the Warrant holder(s) on the exercise of the Warrant(s).

Kindly note that our Allotment Committee meeting had started at 12.00 noon and concluded at 12.30 p.m.
