Sub: Appointment/Re-appointment of Directors at the 115[th] Annual General Meeting (‘AGM’) of the Company

Pursuant to the provisions of Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI Listing Regulations”), we wish to inform you that the following appointment/ re-appointment of the Directors have been approved by the shareholders at the 115[th] Annual General Meeting (‘AGM’) of the Company, held on Wednesday, August 14, 2024, through video conferencing:

1. Re-appointment of Mr. Chakor L. Doshi (DIN: 00210949) as Director, liable to retire by rotation;

2. Re-appointment of Mrs. Rupal Vora (DIN: 07096253) as an Independent Director of the Company, for a second term commencing from May 28, 2024 till May 27, 2029.

3. Appointment of Dr. Prabhat Kumar (DIN: 00001683) as an Independent Director of the Company, for a term commencing from June 17, 2024 till June 16, 2029.

Details required under Regulation 30 of the SEBI Listing Regulations, read with SEBI Circular No. SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated 13 July 2023 are enclosed as Annexure I.

Com Degree from Sydenham College, Mumbai University in 1983. She has also done Law from Government College, Mumbai University. She has also done a course in US Taxes with H & R Block. She is a practicing Advocate, specializing in Direct Taxes.	Dr. Prabhat Kumar (DIN: 00001683) comes with a rich experience of around 4 decades in the nuclear domain wherein he has worked for thermal nuclear reactors, fast- breeder reactors and fusion reactor. He has done Mechanical Engineering and is a Fellow Member of the Indian National Academy of Engineers, Indian Institute of Non- Destructive Testing and Indian Institute of Welding. He has also done PhD on Mega Project Management. Before joining Walchandnagar Industries Limited, he was associated and held the position of Chairman and Managing Director of Bhartiya Nabhikiya Vidyut Nigam Limited (BHAVINI)
