Waberer's signs a strategic letter of intent with GYSEV and GYSEV CARGO to further implement Waberer's multimodal strategy

Budapest, 16 October 2025. – WABERER'S INTERNATIONAL Nyrt. (hereinafter: "Waberer's" or the "Company") hereby announces that the planned acquisition of the majority stake in GYSEV CARGO, which was announced on December 23, 20241, could not be completed by the planned deadline due to the lack of the necessary external approval (EIB). Given that the original business objectives of the transaction are still considered value-creating and feasible by the Parties (Waberer's, GYSEV, and GYSEV CARGO), today they have signed a Letter of Intent, under which they will examine the possibilities of executing the acquisition transaction and explore what kind of business structure and timeline would allow them to carry out mutually beneficial business developments.

Zsolt Barna, Chairman & CEO of Waberer's commented on the Letter of Intent: "Waberer's has recently placed significant emphasis on developing its multimodal logistics capabilities. As a first step, in 2024 we acquired a majority stake in PSP Group, which operates in the field of rail logistics. Building on the expertise gained through this acquisition, we have successfully implemented several business development projects. In the near future, Waberer's Group will play a key role in providing rail, road, and warehouse logistics services in the industrial hubs around Debrecen and Szeged. We are also in negotiations regarding transportation of products of Far Eastern e-commerce providers to Europe by train, as well as the integration of air freight with rail logistics. In addition to the GYSEV CARGO transaction, our Company continues to explore the potential acquisition of further domestic and regional rail logistics service providers."
