CLEANSING NOTICE

WA1 Resources Ltd (ACN 646 878 631) (ASX: WA1) ( WA1 or the Company ) provides this notice under section 708A(5)(e) of the Corporations Act 2001 (Cth) ( the Act ).

WA1 advises that it issued 436,364 new shares today, being 20 October 2023, pursuant to a share placement announced to the ASX on 1 September 2023 without disclosure under Part 6D.2 of the Act.

This completes the placement of new ordinary shares as announced to ASX on 1 September 2023 and provides WA1 with a pro-forma cash balance of approximately A$25m (refer to the Appendix 5B released to ASX on 20 October 2023 plus the issue herewith).

WA1 gives notice that:

• (a) the shares were issued without disclosure to the investors under Part 6D.2 of the Act;

• (b) this notice is being given under section 708A(5)(e) of the Act;

• (c) as a disclosing entity, WA1 is subject to regular reporting and disclosure obligations;

• (d) as at the date of this notice, WA1 has complied with:

• (i) the provisions of Chapter 2M of the Act, as they apply to the Company; and

• (ii) section 674 and 674A of the Act, as they apply to the Company; and

• (e) as at the date of this notice, there is no information that is ‘excluded information’ within the meaning of sections 708A(7) and 708A(8) of the Act.
