NOTICE UNDER SECTION 708A(5)(e) OF THE CORPORATIONS ACT 2001 (CTH)

Vysarn Limited ACN 124 212 175 (ASX:VYS) ( Vysarn or the Company ) advises that it has issued 10,000,000 fully paid ordinary shares ( New Shares ) as part consideration for its acquisition of CMP Consulting Group Pty Ltd ( CMP ) as announced earlier today.

The Company hereby provides notification under section 708A(5)(e) of the Corporations Act (Cth) (Corporations Act) of the issue of the New Shares. The Corporations Act restricts the on-sale of securities issued without disclosure unless the sale is exempt under section 708 or 708A of the Corporations Act. By the Company giving this notice (Notice), a sale of the New Shares will fall within the exemption in section 708A(5) of the Corporations Act and they will immediately be freely tradeable. As noted in the Company’s 13 September 2024 ASX announcement, the vendors of CMP have however entered into voluntary restriction deeds under which they have agreed that the New Shares will be subject to escrow for a period of 12 months.

For the purposes of section 708A(6) of the Corporations Act, the Company gives notice that:

• a) the New Shares were issued without disclosure under Part 6D.2 of the Corporations Act;

• b) this Notice is being given under section 708(5)(e) of the Corporations Act;

• c) as at the date of this Notice, the Company has complied with:

• a. the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and

• b. sections 674 and 674A of the Corporations Act; and

• d) as at the date of this Notice, there is no information which is “excluded information” within the meanings of section 708A(7) and (8) of the Corporations Act.
