APPENDIX 3Z

The Board of MHM Metals Limited advises that Mr Matthew Keen has now resigned as a Director of the Company, as previously announced on 24 June 2015 and an Appendix 3Z in relation to Mr Keen’s holdings is attached.

Under the terms of Mr Keen’s employment contract, he is due a $75,000 bonus. In recognition of the Company’s limited financial resources and in the interests of maximising its capacity to reinvent itself in a value accretive manner, the Company will seek shareholder approval at its next general meeting of shareholders to issue 1,250,000 fully paid ordinary shares at an issue price of $0.02 (2 cents) per share in partial settlement of the bonus.

In the event that shareholders do not approve the issue of shares, the Company will be required to increase the cash component of the bonus.

The Board once again recognises Mr Keen’s effort and commitment to the company and wishes him all the best in his future endeavours.
