UPDATE REGARDING CMP CONSULTING GROUP AQUISITION

Vysarn Limited (ASX:VYS) ( Vysarn or the Company ) advises that completion of its proposed acquisition of CMP Consulting Group Pty Ltd ( CMP ) is now expected to take place in early December 2024 ( Acquisition ).

As detailed in the Company’s 13 September 2024 and 18 September 2024 ASX announcements, completion of the Acquisition was previously expected to be on or around 31 October 2024 subject to the satisfaction or waiver of specified conditions precedent.

In addition, within the 18 September 2024 announcement the Company advised that it had agreed with the current shareholders of CMP that completion of the Acquisition would be subject to obtaining shareholder approval in relation to the issue of the deferred consideration shares under ASX Listing Rule 7.1 and for all other purposes.

The Company subsequently announced on 16 October 2024 that it has convened its 2024 Annual General Meeting for 21 November 2024 and will seek the requisite shareholder approval at that meeting.

The ASX announcement has been authorised for release by the Board of Vysarn.
