BOARD CHANGES AND AGM UPDATE

MHM Metals Limited ( MHM or the Company ) provides the following update in relation to Board changes and the Company’s upcoming Annual General Meeting (AGM).

Capital Structure

Ordinary shares on issue: 136,228,616

It is advised that Mr Paul Kopejtka and Mr Christopher Goodman have tendered their resignations as Directors of the Company effective immediately. The Company thanks both Directors for their contribution to date.

The Company’s Managing Director, Mr Joseph van den Elsen, has today provided 3 months’ notice to the Company with respect to his Employment Agreement, following which he will remain on the board as Non-executive Director.

It is also advised Mr Paul Harley has been appointed as a Non-executive Director effective immediately. Mr Harley is is a lawyer and Principal of law firm Hunt & Humphry Project Lawyers, with experience in providing advice to listed public and private companies and in all aspects of project acquisitions and disposals. Mr Harley has practised corporate and commercial law for over 14 years.

An update will be provided as to the appointment of an additional Director in due course.

As a result of the board changes noted above, the Company will need to send out an updated notice to shareholders with respect to the upcoming AGM and will do so in the coming days.
