SUB: INTIMATION oF CLOSURE OF BUYBACK - [BUYBACK OF FULLY PAID UP EQUIW SHARES OF FACE VALUE OF RS.IO (RUPEES TEN ONLY) EACH (EqUITY SHARES") BY VRL LOGISTICS LIMITED ('COMPANY")FROMTHE OPEN MARKET THROUGH THE STOCK EXCHANGE MECHANISM ('BUY.BACK')1.

This is in furtherance and in relation to our letter dated February 9, 2021 rcgarding submrssion of the pubtic announcement dated February 8, 2021 ("Publ,ic Announcement") which was pubtished in certain newspapers on February 9, 2021.

Pursuant to the resoLution passed by our Board of Directors on February 6,2021, the Company was authorised to buyback its Equity Shares from the open market through stock exchange mechanism, for an aggregate amount not exceeding t60,00,00,000/- (lndian Rupees Sixty Crores Onty) ("Maximum Buyback Size") and at a price not exceeding {300/- (lndian Rupees Three Hundred OnLy) per Equity Share ("Maximum Buyback Price"). The Maximum Buyback Size and Maximum Buyback Pr'Lce do not include the brokerage, costs,fees, turnover charges, taxes such as buyback tax,securities transaction tax, goods and services tax (if any), income taxor any other applicabte taxes, stamp duty, advisors fees, printing expenses, fiting fees and other incidentat and retated expenses (cotlectively referred to as "Transaction Costs"). The Company commenced the Buyback on Monday, February 15, 2021from its sharehoLders / beneficiat owners (other than those who are promoters, members of the promoter group or persons in contro[), from the open market through stock exchange mechanism, i.e., using the etectronic trading facitities of BSE Limited and National Stock Exchange of lndia Limited, in accordance with the Securities and Exchange Board of lndia (Buy-Back of Securities) Regutations, 2018, as amended ("Buyba.k Regulations").

ln this regard, pLease be informed that, as on Thursday, March 18, 2021, the Company has bought back 20,00,000 Equity Shares at a votume weighted average price of <253.36 (lndian Rupees Two Hundred and Fifty Three and Thirty Six Paisa Onty) per Equity Share.
