ANNOUNCEMENT DATED 29th December 2020

The company Vonpende Holdings P.L.C. (the "Company") hereby announces the reverse merger of its subsidiaries Elbridge Investments Limited and Elbridge Investments (Cyprus) Limited (the "Merger") pursuant to a court order issued by the Nicosia District Court on 18.12.2020 ordering the dissolution of Elbridge Investments Limited and the transfer and/or assignment of its entire property, assets, rights and liabilities and generally of its business to Elbridge Investments (Cyprus) Limited. The relevant court order has been filed and registered with the Registrar of Companies on 28.12.2020.

As a result of the Merger, the Company as the sole shareholder of the company Elbridge Investments Limited will be allotted shares in the share capital of the acquiring company, Elbridge Investments (Cyprus) Limited.

The above-mentioned Merger is not expected to create any changes or fluctuations in the price of the shares of the Company. To the contrary, it is expected result in the reduction of administrative costs of the group and to a simpler and more efficient structure in terms of management.
