COMPLETION OF ACQUISITION OF AND SUBSCRIPTION FOR EQUITY INTEREST IN CLAMAN GLOBAL LIMITED

Reference is made to the announcements of Vongroup Limited (the “Company”) (together with its subsidiaries, referred to as the “Group”) dated 22 October 2020, 27 November 2020 and 27 May 2021 (the “ Announcements ”) regarding the acquisition of and subscription for equity interest in Claman Global Limited (the “ Transactions ”).

The Board is pleased to announce that the conditions precedent of the Transactions have been fulfilled and completion of the Transactions took place on 11 June 2021. Following the completion, the Company indirectly owns approximately 50.32% equity interest in Claman Global Limited, and its financial results will be consolidated into the financial statements of the Group.
