This Notice is published pursuant to the provisions of Investor Education and Protection Fund Authority (Accounting, Audit, Transfer and Refund) Rules, 2016 notified by the Ministry of Corporate Affairs asamendedfromtimetotime(“theRules”). Pursuant to section 124(6) of the Companies Act, 2013 read with the Rules, the Company is mandated to transfer all shares in respect of which dividend has not been paid or claimed by the shareholders for seven consecutive years or more, to the Investor Education and Protection Fund (IEPF). The Rules, amongst other matters, contain provisions for transfer of these shares to the IEPF. However, where there is a specific order of Court or Tribunal or Statutory Authority restraining any transfer of such shares and payment of dividend or where such shares are pledged or hypothecated under the provisions of the Depositories Act, 1996, the Company will not transfer such sharesto theIEPF. Adhering to the various requirements set out in the Rules, individual communication has simultaneously been sent by the Company to the concerned shareholders whose shares are liable to be transferred under theRules, for takingappropriateactions. The Company has uploaded full details of such shareholders viz. Name and DP ID - Client ID / Folio No. and shares due for transfer to the IEPF, on its website at the web-link https://www.mahindra lifespaces.com/investor-center/?category=share-transfer-to-iepf. Shareholders are requested to refer to the web-link to verify the details of unencashed dividends and the shares liable to be transferred to the IEPF. Kindly note that all future benefits, dividend arising on such shareswould alsobecreditedtotheIEPF. The concerned shareholders, holding shares in physical form and whose shares are liable to be transferred to IEPF Authority may note that the Company would be issuing new share certificate(s) in lieu of the original share certificate(s) held by them for the purpose of dematerialisation and transfer of shares to IEPF Authority as per the Rules and upon such issue, the original share certificate(s) which are registered in their name will stand automatically cancelled and will be deemed non-negotiable. The shareholders may further note that the details uploaded by the Company on its website should be regarded as and shall be deemed adequate notice in respect of issue of the new share certificate(s) by the Company for the purpose of transfer of shares to IEPF pursuant to the Rules. Please note that the due date for claiming dividend for Financial Year 2017-18 is 30th August, 2025. The unclaimed dividend(s) / Equity Share(s) so transferred to the IEPF Authority, can be claimed by making an online application electronically (web-Form IEPF-5) available on the website of the MCA at www.iepf.gov.in. The Claimant is first required to approach the Company/RTA for issue of Entitlement Letter along with all the required documents before filing the claim in Form IEPF-5.
