Dear Sirs,

Pursuant to Regulation 30 read with Para A of Part A of Schedule III of SEBI Listing Regulations, we wish to inform that Universal MEP Projects Pte. Limited, Singapore (UMPPL), a step-down wholly owned subsidiary of the Company has incorporated a new wholly owned subsidiary, viz. Universal MEP Contracting L.L.C. in Dubai, United Arab Emirates, on 21[st] January, 2025 with the object of engaging in Mechanical, Electrical and Plumbing (MEP) Projects and other allied activities. As both UMPPL and Universal MEP Contracting L.L.C. are step-down wholly owned subsidiaries of the Company, the proposed subscription of share capital by UMPPL would not fall within the ambit of related party transactions.

The Company has received the intimation regarding incorporation of Universal MEP Contracting L.L.C. on 22[nd] January, 2025 at 6.04 p.m.
