Dear Sirs,

1. Further to our letter dated 07[th] December, 2024, we wish to inform that pursuant to the satisfaction of Conditions Precedent and receipt of necessary approvals including remittance of the consideration amount, the transfer of the Company’s direct investment (100%) in Weathermaker FZE – UAE to Universal MEP Projects Pte Limited - Singapore (UMPPL), has been completed on 15[th] January, 2025 and consideration of Rs. 30 crores has been received by the Company. As UMPPL is a step-down wholly owned subsidiary of the Company, the economic interest of the Company in Weathermaker FZE remains intact, and it continues to be a wholly owned subsidiary of the Company.

2. As regards transfer of the Company’s direct investment in Saudi Ensas Company for Engineering Services and Trading LLC to UMPPL, the same is targeted to be completed before 31st March, 2025 or such other date as may be mutually agreed between the parties.
