Dear Sirs,
This has reference to our letter dated 13[th] March, 2025, informing about the approval of the Board of Directors for transfer of Ongoing Projects and Projects under Defects Liability Period (‘DLP’) of the overseas branches of the Company at Dubai and Abu Dhabi in UAE to Universal MEP Contracting L.L.C. (‘UMCL’), Dubai, UAE, a step down wholly owned subsidiary of the Company, through Business Transfer Agreements (‘BTAs’) to be executed between the Company and UMCL.
In this regard, we wish to inform that the BTAs between the Company and UMCL have been executed today. The transaction is expected to be consummated by 31[st] March, 2026 or such other date as may be mutually agreed between the Company and UMCL and is subject to satisfaction of certain conditions precedent in accordance with the BTAs. The consideration shall be a lumpsum amount payable by UMCL to the Company based on an independent valuation to be obtained at the time of consummation of the BTAs.
