Sub: Intimation under Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (‘SEBI Listing Regulations’)

Dear Sirs,

1. We refer to our letter dated 20[th] June, 2024 informing that the Company has, as part of internal restructuring, executed Share Purchase Agreements with Universal MEP Projects Pte Limited (UMPPL), a step down wholly owned subsidiary of the Company in the Republic of Singapore, for transfer of the Company’s direct investments in certain overseas subsidiary companies.

2. In this regard, we further wish to inform that pursuant to the satisfaction of Conditions Precedent and receipt of necessary approvals including remittance of the consideration amount, the transfer of the Company’s direct investment (20%) in Lalbuksh Voltas Engineering Services and Trading LLC (“Lalbuksh Voltas”), a subsidiary of the Company, to UMPPL has been completed on 7[th] December, 2024 and consideration of Rs. 20 crores has been received by the Company. As UMPPL is step down subsidiary of the Company, the economic interest of the Company in Lalbuksh Voltas remains intact, and it continues to be a subsidiary of the Company.

3. As regards the transfer of the Company’s direct investments in other subsidiary companies, namely – Weathermaker FZE and Saudi Ensas Company for Engineering Services and Trading LLC to UMPPL, the documentations are in process, and the necessary approvals from the local authorities in the respective jurisdictions are awaited. These transactions are targeted to be completed on or before 31[st] March, 2025 or such other date as may be mutually agreed between the parties.
