GRANT OF WAIVER FROM ASX LISTING RULE 10.13.5

Volt Resources Limited ( ASX: VRC ), (“ Volt ” or, the “ Company ”) will be holding its 2017 Annual General Meeting at 10.00am (WST) on Tuesday, 24 October 2017 2017 at Ground Floor, London House - Conference Room, 216 St George’s Terrace, Perth, Western Australia.

In the Notice of Annual General Meeting to be sent to Volt shareholders (a copy of which has been released to ASX and can be found on Volt’s website at www.voltresources.com/asx-announcements2017) ( Notice of AGM ), Volt noted that it had received a waiver of ASX Listing Rules in relation to proposed resolutions 5 and 6 set out in the Notice of AGM.

The specific waiver granted to Volt is on the terms set out below:

“A waiver from listing rule 10.13.5 to the extent necessary to permit the Company’s notice of meeting (the “Notice”) to approve the issue of shortfall shares under a share purchase plan (“SPP”) with a value of up to $300,000 each to existing directors Asimwe Kabunga and Matthew Bull (or their nominees) ($600,000 in aggregate) (the “Related Parties”), not to state the issue price subject to the following conditions.
1.1 The Notice states that the issue price of the shares issued under the SPP (“SPP Issue Price”) will be equal to 80% of the volume weighted average price (“VWAP”) of the Company’s shares calculated over the last 5 days on which sales in the Company’s shares were recorded before the day on which the shares under the SPP are issued (“Issue Date”).
1.2 The Company releases the terms of the waiver no later than the time the Notice is released to the market.”
