Dear Optionholder

We are writing to you as a registered holder of either ERJO or ERJOA options ( Options ) in Enerji Ltd ( Company ).

On 11 February 2014 the Company lodged a prospectus ( Prospectus ) with the Australian Securities and Investments Commission ( ASIC ) in relation to a pro rata non-renounceable offer of one (1) New Share for every one (1) Share held by those Shareholders registered at the Record Date[1] at an issue price of $0.005 per Share, to raise approximately $1,362,578 ( Offer ). The Prospectus was also released to the ASX Ltd ( ASX ) on the same date. A Supplementary Prospectus was also lodged with the ASIC and the ASX on 13 February 2014 that provided additional detail in relation to how the proceeds of the Offer are planned to be used, and revised key dates.

In relation to the Options, and pursuant to the terms of the Options, the Company is required to notify you of your right to participate in the Offer if you exercise your Options prior to the Record Date of the Offer, being 26 February 2014.

A full copy of the Prospectus and Supplementary Prospectus will be mailed to all eligible Shareholders[1] who hold Shares on the Record Date.
