F1: On June 1, 2024, the reporting person was awarded 16,022 restricted stock units ("RSUs") under the Issuer's 2015 Stock Incentive Plan in lieu of cash compensation that would otherwise have been owed to the reporting person. The RSUs partially vest in three installments of 5,341 units, 5,341 units, and 5,340 units on each of June 1, 2024, July 1, 2024 and August 1, 2024, respectively, are also subject to further time-based vesting in a single installment on May 1, 2025, and are generally subject to continued service throughout each applicable vesting date. Upon vesting and settlement, the reporting person will receive a number of shares of common stock equal to the number of RSUs that have vested.

F2: These shares of Common Stock are beneficially owned by The Innes Family Bare Trust 2023, which is a separate legal entity, of which the reporting person is the Trustee, for the benefit of his children.

F3: These shares of Common Stock are beneficially owned by The Dill Faulkes Educational Trust Limited ("DFET"), a UK registered charity. The reporting person serves as a director and trustee of DFET and shares voting and dispositive control over these shares but disclaims beneficial ownership of these shares except to the extent of his pecuniary interest therein.
