Press release 23 November 2017
Successful issuance of Volati bonds of SEK 600m and tender offer results for Akademibokhandeln bonds
Issuance of new Volati bonds
Volati AB (publ) has successfully issued senior unsecured bonds in the total amount of SEK 600m. The bonds have a tenor of five years and a floating interest rate of three-months STIBOR plus 350bps. The transaction generated good interest from investors which led to an oversubscribed issue. The proceeds will be used to increase the company's financial flexibility and acquisition capacity in addition to financing the tender offer of Akademibokhandeln bonds.
Tender offer of the Akademibokhandeln bond
Volati announces the results of Akademibokhandeln's invitation to the holders of Akademibokhandeln's outstanding SEK denominated bonds with ISIN SE0009690084 due 2021 to tender their bonds at a price of 107.00 per cent for cash. The aggregate principal amount of Akademibokhandeln bonds validly tendered was SEK 192m. After the completion of the tendered bonds the outstanding nominal amount of bonds not being held by Akademibokhandeln is SEK 308m. Akademibokhandeln also announces that it will continue to pursue the soliciting consent from holders of the bonds to enable an early redemption in December of all remaining outstanding bonds. The settlement date for the tender offer is set to 5 December 2017.
"The strong interest in Volati's bond among reputable investors made it possible to establish a new bond structure that will strengthen our financial flexibility and capacity to continue to acquire good companies with stable cash flow to the Group. Considering the number of tendered Akademibokhandeln bonds we reduced the issue size to SEK 600m. This is Volati's first bond and we see the bond market as interesting also for future financing solutions", comments CEO Mårten Andersson.
Nordea and SEB acted as Joint Bookrunners in connection with the new issue transaction and Dealer Managers for Akademibokhandeln's tender offer, and Gernandt & Danielsson KB acted as legal counsel in the new issue transaction and in the tender offer.
