The issuer is solely responsible for the content of this announcement. ——————————————————————————– Capital increase of voestalpine AG – subscription and offer price at EUR 32.5 per share voestalpine successfully issued 6.6 million new ordinary shares at EUR 32.5 per share, increasing the total number of shares outstanding by 20% to 39,600,000. The rights subscription and global offer periods closed on 24 April 2002. 3,187,332 of the new shares were sold through the take up of pre-emption rights. The remaining 3,412,668 shares were placed in the global offering to institutional and private investors. The global offering was substantially oversubscribed and the shares were broadly placed with new and existing shareholders. The rights subscription and offer price were determined through a bookbuilding process and were fixed at EUR 32.5 per share. The new shares will start trading in the ATX segment of the Vienna Stock Exchange on 30 April 2002 and have full dividend entitlement for the financial year 2001/02.
