With reference to the above subject, this is to inform that a meeting of the Board of Directors of the Company is scheduled to be held on Thursday, September 21, 2023, interalia, to consider

1. Proposal for issuance of equity shares/warrants by way of a preferential allotment, in accordance with the provisions of the SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2018 and the Companies Act, 2013, as amended, subject to such regulatory/ statutory approvals as may be required.

2. Convening of an Extra-Ordinary General Meeting or Postal Ballot process to seek approval of the shareholders in respect of the aforesaid proposal of preferential allotment, as required.

In this connection, please be informed that the trading window of Vivo Bio Tech Limited shall remain closed for all Directors, Promoters, Designated Employees and Specified Connected Persons of the Company from September 18, 2023 till the end of 48 hours from the conclusion of the aforesaid Board Meeting i.e. September 23, 2023.
