Report Content The Management Board of Vivid Games S.A, headquartered in Bydgoszcz,Poland (hereinafter the "Issuer" or the "Company") informs that onJanuary 17, 2025 it became aware of the registration by the DistrictCourt in Bydgoszcz, XIII Economic Division of the National CourtRegister of an increase in the Issuer's share capital in connection withthe Management Board's resolution on increasing the authorized capitalwithin the limits of the authorized capital through the issuance ofseries I shares, the adoption of which was announced by the Issuer incurrent report No. 27/2024 of September 20, 2024. After registration,the Company's share capital is PLN 5,553,577.00 (five million fivehundred and fifty-three thousand five hundred and seventy-seven zlotys).

After registration, the Company's share capital is PLN 5,553,577.00(five million five hundred fifty-three thousand five hundredseventy-seven zlotys 00/100) and is divided into:

- 16,500,000 (in words: sixteen million five hundred thousand) series Aordinary bearer shares with a nominal value of PLN 0.10 (in words: tengroszy) each,

- 8,800,000 (in words: eight million eight hundred thousand) series Bordinary bearer shares with a nominal value of PLN 0.10 (in words: tengroszy) each,

- 296,465 (in words: two hundred and ninety-six thousand four hundredand sixty-five) ordinary series C bearer shares with a nominal value ofPLN 0.10 (in words: ten groszy) each,

- 2,000,000 (in words: two million) ordinary bearer shares of D serieswith a nominal value of PLN 0.10 (in words: ten groszy) each,

- 349,000 (in words: three hundred and forty nine thousand) ordinaryseries E bearer shares with a nominal value of PLN 0.10 (in words: tengroszy) each,

- 323,250 (in words: three hundred and twenty-three thousand two hundredand fifty) ordinary series F bearer shares with a nominal value of PLN0.10 (in words: ten groszy) each,

- 1,474,681 (in words: one million four hundred and seventy-fourthousand six hundred and eighty-one) ordinary series G bearer shareswith a nominal value of PLN 0.10 (in words: ten groszy) each,

- 2,542,374 (in words: two million five hundred and forty-two thousandthree hundred and seventy-four) ordinary bearer shares of series H witha nominal value of PLN 0.10 (in words: ten groszy) each,

- 23,250,000 (twenty-three million two hundred and fifty thousand)Series I ordinary shares with a nominal value of PLN 0.10 (ten cents)each, of which 6,457,153 shares were issued as bearer shares, and theremaining, i.e. 16,792,847, as registered shares.

From all issued shares, the Company's shareholders are entitled to atotal of 55,535,770 (fifty-five million five hundred and thirty-fivethousand seven hundred and seventy) votes.

The capital increase was made within the framework of authorizedcapital, after the registration of the increase, the authorized capitalof PLN 75,000 (seventy-five thousand) remained to be taken up.

In connection with the capital increase, § 6 (1) of the Company'sArticles of Association was amended and the unified text of the Articlesof Association was adopted, which the Issuer provides in the appendix tothis report (Polish version).
