The Management Board of Vivid Games S.A. (hereinafter: _quot;Company_quot;,_quot;Issuer_quot;), informs that on May 15, 2023 it received information from theNational Center for Research and Development (hereinafter: _quot;NCBiR_quot;),according to which, despite the conclusion of a funding agreementbetween the Company and NCBiR on February 6, 2023 (hereinafter:_quot;Agreement_quot;), the Company will not receive funding under the Agreementdue to the results of an audit conducted at NCBiR. The Agreementconcerns the implementation of a technology project entitled. _quot;PrototypePlatform for Automation of Generation, Gamification and Determination ofDifficulty of Blast Levels, Based on AI and Machine Learning_quot;(hereinafter: _quot;Project_quot;), under the Fast Track program.
NCBiR has not indicated the legal or factual basis for its decision notto fund the Project. The Issuer is awaiting further clarification fromNCBiR. In the Issuer's opinion, there are no legal grounds for NCBiR'stermination of the agreement; therefore, the Issuer will perform a legalanalysis and make a decision on a possible claim against NCBiR for thefunds due and compensation for the damage resulting from the withdrawalof funding.
The Company's Management Board will make a decision on further operationof the aforementioned Project after receiving clarifications from NCBiR.
