ZAWIADOMIENIE Z USTAWY O OFERCIE / NOTIFICATION UNDER THE ACT ON PUBLIC OFFERING

W imieniu Vladas'a Numavičius'a oraz Gemini Grupė, UAB z siedzibą w Wilnie (Republika Litewska), Upes g. 21-1 (LEI: 254900GN1PASY5CK8S50) ("Gemini") (łącznie "Zawiadamiający") na podstawie art. 69 i 69a ustawy o ofercie¹ , niniejszym zawiadamiam o zwiększeniu stanu posiadania w ogólnej liczbie głosów w Spółce (pośrednio i bezpośrednio) w związku z objęciem akcji w podwyższonym kapitale zakładowym Spółki, zarejestrowanym 16 stycznia 2025 r. ("Nabycie Akcji").

On behalf of Vladas Numavičius and Gemini Grupė, UAB with its registered office in Vilnius (Republic of Lithuania), Upes g. 21-1 (LEI: 254900GN1PASY5CK8S50) ("Gemini") (jointly the "Notifiers") under Articles 69 and 69a of the Act on Public Offering² , I hereby notify of an increase in the total number of votes in the Company (indirectly and directly) as a result of the acquisition of shares in the increased share capital of the Company, registered on 16 January 2025 (the "Share Acquisition").

Przed Nabyciem Akcji, Gemini posiadała 4 504 000 akcji Spółki, reprezentujących 13,95% wszystkich akcji w Spółce (w zaokrągleniu do jednej setnej procenta) i w kapitale zakładowym Spółki, oraz uprawniających do 4 504 000 głosów w Spółce, reprezentujących 13,95% wszystkich głosów w Spółce (w zaokrągleniu do jednej setnej procenta).

Po Nabyciu Akcji, Gemini posiada 27 754 000 akcji Spółki, reprezentujących 49,97% wszystkich akcji w Spółce (w zaokrągleniu do jednej setnej procenta) i w kapitale zakładowym Spółki, oraz uprawniających do 27 754 000 głosów w Spółce, reprezentujących 49,97% wszystkich głosów w Spółce (w zaokrągleniu do jednej setnej procenta).

Gemini jest podmiotem zależnym od Vladas'a Numavičius'a w rozumieniu ustawy o ofercie. Vladas Numavičius nie posiada ani nie posiadał bezpośrednio akcji w kapitale zakładowym Spółki – zarówno przed Nabyciem Akcji jak i po Nabyciu Akcji.

Gemini nie ma podmiotów zależnych posiadających akcje Spółki. Vladas Numavičius nie ma podmiotów zależnych (innych niż Gemini) posiadających akcje Spółki. W odniesieniu do Zawiadamiających nie występują osoby, o których mowa w art. 87 ust. 1 pkt 3) lit. c. ustawy o ofercie.

Zawiadamiający nie posiadają instrumentów finansowych, które po upływie terminu zapadalności bezwarunkowo uprawniają lub zobowiązują ich posiadacza do nabycia akcji Spółki, z którymi związane są prawa głosu, wyemitowanych już przez Spółkę, lub odnoszą się do akcji Spółki w sposób pośredni lub bezpośredni i mają skutki ekonomiczne podobne do skutków instrumentów finansowych określonych w zdaniu poprzedzającym, niezależnie od tego, czy instrumenty te są wykonywane przez rozliczenie pieniężne, a o których mowa w art. 69b ust. 1 pkt 1) i 2) ustawy o ofercie. W związku z powyższym Zawiadamiający nie posiadają głosów z akcji wskazanych na podstawie art. 69 ust. 4 pkt 7) i Before the Share Acquisition, Gemini held 4,504,000 shares in the Company, representing 13.95% of all shares in the Company (rounded to the nearest onehundredth of a percent) and in the Company's share capital, and entitling it to 4,504,000 votes in the Company, representing 13.95% of all votes in the Company (rounded to the nearest one-hundredth of a percent).

After the Share Acquisition, Gemini holds 27,754,000 shares in the Company, representing 49.97% of all shares in the Company (rounded to the nearest one-hundredth of a percent) and in the Company's share capital, and entitling it to 27,754,000 votes in the Company, representing 49,97% of all votes in the Company (rounded to the nearest one-hundredth of a percent).

Gemini is a subsidiary of Vladas Numavičius within the meaning of the Act on Public Offering. Vladas Numavičius did not and does not directly hold any shares in the share capital of the Company - either before or after the Shares Acquistion.

Gemini has no subsidiaries holding shares in the Company. Vladas Numavičius has no subsidiaries (other than Gemini) holding shares in the Company. There are no persons referred to in Article 87 (1) (3) (c.) of Act on the Public Offering with respect to the Notifiers.

The Notifiers do not hold financial instruments that, upon maturity, unconditionally entitle or obligate their holder to purchase the Company's shares with voting rights attached to them, already issued by the Company, or relate to the Company's shares in a direct or indirect manner and have economic effects similar to those of the financial instruments referred to in the preceding sentence, regardless of whether those instruments are exercised through cash settlement, and referred to in Article 69b(1)(1) and (2) of the Act on Public Offering. Accordingly, the Notifiers do not have votes from the shares indicated pursuant to Article 69(4)(7) and (8) of the Act on Public Offering, while total number of votes 8) ustawy o ofercie, natomiast łączna suma liczby głosów Zawiadamiających oraz procentowy udział w ogólnej liczbie głosów w Spółce został wskazany powyżej.

Niniejsze zawiadomienie zostało sporządzone w języku polskim oraz angielskim – w razie rozbieżności znaczenie ma wersja polska.
