Shareholders’ Meeting for Recapitalization of Vivanco Gruppe AG will include Announcement of Losses Equal to One-Half of the Share Capital

The issuer is solely responsible for the content of this announcement. —————————————————————————— At the intended shareholders’ meeting which will resolve on a capital decrease in order to implement the recently agreed restructuring concept and which will form the basis for the investors’ Deutsche Bank AG, London and MHB-Bank AG/Lone Star prospective acquisition of the majority of shares the management board of Vivanco Gruppe AG will announce pursuant to sec. 92 par. 1 of the German Stock Corporation Code that losses equal to one-half of the share capital have incurred. The underlying circumstances are requirements to adjust the company’s subsidiaries values which have now been discovered by the management board. This development leaves untouched the agreements entered into by the company, its finance partners, its current major shareholders and the investors Deutsche Bank AG, London and MHB-Bank AG/Lone Star on the financial restructuring and the investors’ entrance as new major shareholders. Upon implementation of the agreed concept for recapitalization, which requires implementation of the capital decrease to be resolved upon at the shareholders’ meeting, the losses will be compensated and the company’s equity will be sustainably increased. The management board will immediately arrange the notice of the shareholders’ meeting.
