The issuer is solely responsible for the content of this announcement. ——————————————————————————– 1.8 million Vivanco profit participation certificates to be offered at 8.50 euro Subscription from 17 July – Return of up to 8 % – Conversion privilege 1:1 into shares Vivanco Gruppe AG, Ahrensburg, will be issuing 1.8 million profit participation certificates priced at 8.50 euro in the second half of July. The proceeds of the issue, amounting to around 30 million DM, that go to one of Europe’s leading ITC (information technology and telecommunications) accessories suppliers, will serve to finance the company’s continued organic growth. From the year 2002, the profit participation certificates offer a return of 8.0 percent p.a., placing them significantly higher than the current market interest rate for bonds. For the 2001 abbreviated year a prorated interest rate of 5.0 percent will be paid. As an added incentive, the profit participation certificate offers a 1:1 conversion privilege into Vivanco shares which can be exercised following the 2002 shareholders’ meeting. In view of the currently low valuation of Vivanco shares, the conversion privilege offers investors considerable potential for capital gain. Vivanco shareholders are entitled to options on profit participation rights at a ratio of 16 to 5, i.e. for 16 Vivanco shares they have 5 stock options on profit participation certificates. During the period from 17 to 31 July, profit participation certificates can be subscribed via Falke Bank AG, Düsseldorf, which is taking care of this capital action. The term of the profit participation certificates is 4.5 years up to 31.12.2005. The majority shareholder in Vivanco, Nord Holding Unternehmensbeteiligungs- gesellschaft mbH, will subscribe to the profit participation certificate capital in accordance with its holding of more than 51.13%. As the conversion price is close to the current stock exchange quotation, the profit participation certificates represent considerable return potential for Vivanco shareholders.
