Proposal from the Election Committee in Vistin Pharma ASA

Following changes in the ownership of Vistin Pharma ASA, more specifically Intertrade Shipping AS now being the largest shareholder with 24.2%, the Election Committee has received input from new shareholders regarding the composition of the Board.

Intertrade has proposed that Øivin A Brøymer and Kari Krogstad are elected as new board members replacing Ole Enger and Mimi K. Berdal

Election of new Board members

The Election Committee has reviewed the input received and proposes that the Board calls for an EGM where it will be proposed that Øivin A Brøymer is replacing Ole Enger as chairman for a period until the AGM in 2022, and that Kari Krogstad is replacing Mimi K. Berdal as board member for the same period.

If the shareholders approve the proposal from the Election Committee, the Board will consist of the following shareholder elected members:

• Øivin A Brøymer (Chairman) replacing Ole Enger
• Bettina Banoun
• Kari Krogstad replacing Mimi K. Berdal
• Espen Marcussen
• Øystein Stray Spetalen
