PROPOSED ACQUISITION

VisionQuest Enterprise Group Inc. (“VisionQuest”) advises that it has entered into a share purchase agreement with Wayne Sorci of Surrey, British Columbia, for the purchase from Mr. Sorci of a 35% participating equity interest in Mr. Sorci’s companies, BCT Battery Conservation Technology (Canada) Inc. and Nu-Enviro Designs Inc. These environmental service enterprises are involved, both in Canada and the United States, in the recycling of dry cell batteries, lead-acid batteries, and mercury containing products such as fluorescent lamps.

VisionQuest recognizes this opportunity as an enterprise of both social and commercial merit, and consistent with the acquisition/joint ventured enterprise development objectives of VisionQuest. The proposed consideration for the transaction is 200,000 shares of VisionQuest and as such qualifies as a minor transaction under the Policies of the Vancouver Stock Exchange. Upon regulatory approval, it is intended that this investment will be commercially advanced through VisionQuest’s 100% owned subsidiary, World Enviro-Solutions Technology Corp. The transaction is subject to acceptance by the Vancouver Stock Exchange.
