APPOINTMENT OF EXECUTIVE DIRECTOR

AND

RE-DESIGNATION OF DIRECTOR

The board of directors (the “ Board ”) of Vision Values Holdings Limited (the “ Company ”, together with its subsidiaries, the “ Group ”) is pleased to announce that Ms. Yvette Ong (“ Ms. Ong ”) has been appointed as an executive director of the Company and Mr. Lo, Rex Cze Kei (“ Mr. Lo ”), a non-executive director of the Company has been re-designated as an executive director of the Company, both with effect from 1 February 2018. The biographical details of each of Ms. Ong and Mr. Lo are set out as below:

Biographical details of Ms. Ong

Ms Ong, aged 53, has over 27 years of managerial experience in the Asia-Pacific region. Prior to joining the Group, she was a managing director of AT&T EasyLink Services Asia Pacific Ltd. Ms. Ong holds an MBA degree in Management Information Systems and Marketing and a bachelor degree in Finance and Management from the University of San Francisco. She is a director of certain subsidiaries of the Company being responsible for the management of these subsidiaries. Ms. Ong is also an executive director of Mongolia Energy Corporation Limited (“ MEC ”)(Stock code: 276) which is listed on The Stock Exchange of Hong Kong Limited (the “ Stock Exchange ”).

There is no service contract between the Company and Ms. Ong. The term of appointment of Ms. Ong is subject to retirement by rotation and re-election in accordance with the Articles of Association of the Company and the Rules Governing the Listing of Securities on the Stock Exchange (the “ Listing Rules ”). Ms. Ong is entitled to a monthly emolument of HK$100,000 with discretionary bonus which is determined by the Board based on the review and recommendation from the remuneration committee of the Company with reference to her duties and responsibilities with the Company, the Company’s performance and the prevailing market situation.

Save as disclosed above, as at the date of this announcement, Ms. Ong (i) holds the share options granted by the Company to subscribe for 5,000,000 shares of the Company within the meaning of Part XV of the Securities and Futures Ordinance (Cap. 571 of the Laws of Hong Kong); (ii) does not have any relationships with any other directors, senior management, substantial or controlling shareholders (as defined in the Listing Rules) of the

Company; (iii) does not hold any other positions in the Company or any of its subsidiaries; (iv) does not hold any directorship in any other listed public company in the three years preceding the date of this announcement; and (v) was censured by the Listing Committee of the Stock Exchange for breach of the Rule 3.08(f) of the Listing Rules for failing to apply such degree of skill, care and diligence as may reasonably be expected of a person of her knowledge and experience and holding her office within MEC; and the Director’s Undertaking: (i) to comply with the Listing Rules to the best of her ability; and (ii) use best endeavours to procure MEC’s compliance with the Listing Rules. Details of the censure were disclosed in the Stock Exchange new releases dated on 28 October 2010.

To the best knowledge of the Board, save as disclosed above, there are no other matters relating to the appointment of Ms. Ong that need to be brought to the attention of the shareholders nor any information required to be disclosed pursuant to the requirements of Rules 13.51(2)(h) to 13.51(2)(v) of the Listing Rules.

Biographical details of Mr. Lo

Mr. Lo, aged 36, has over 8 years of experience in property business and general management. He holds a Master of Science in Electronic Commerce and Internet Computing and a Bachelor of Science in Business Administration. Mr. Lo is the son of Mr. Lo Lin Shing, Simon, the chairman of the Company. He joined the Group in 2014 and is a director of a subsidiary of the Company being responsible for the management of this subsidiary. Mr. Lo is also a director of MEC (Stock code: 276) which is listed on the Stock Exchange.

There is no service contract between the Company and Mr. Lo. The term of appointment of Mr. Lo is subject to retirement by rotation and re-election in accordance with the articles of association of the Company and the Listing Rules. Mr. Lo is entitled to a monthly emolument of HK$50,000 with discretionary bonus which is determined by the Board based on the review and recommendation from the remuneration committee of the Company with reference to his duties and responsibilities with the Company, the Company’s performance and the prevailing market situation.

Save as disclosed above, as at the date of this announcement, Mr. Lo (i) holds the share options granted by the Company to subscribe for 17,294,737 shares of the Company within the meaning of Part XV of the Securities and Futures Ordinance (Cap. 571 of the Laws of Hong Kong); (ii) does not have any relationships with any other Directors, senior management, substantial or controlling shareholders (as defined in the Listing Rules) of the Company; (iii) does not hold any other positions in the Company or any of its subsidiaries; and (iv) does not hold any directorship in any other listed public company in the three years preceding the date of this announcement.

To the best knowledge of the Board, save as disclosed above, there are no other matters relating to the re-designation of Mr. Lo that need to be brought to the attention of the shareholders nor any information required to be disclosed pursuant to the requirements of Rules 13.51(2)(h) to 13.51(2)(v) of the Listing Rules.

The Board would like to extend a warm welcome to Ms. Ong in joining the Board and Mr. Lo for his new position at the Board.

As at the date of this announcement, the Board comprises seven Directors, including Mr. Lo Lin Shing, Simon, Mr. Ho Hau Chong, Norman, Ms. Yvette Ong and Mr. Lo, Rex Cze Kei as Executive Directors, Mr. Tsui Hing Chuen, William JP, Mr. Lau Wai Piu and Mr. Lee Kee Wai, Frank as Independent Non-executive Directors.
