Cash Dividend Declaration

On November 4, 2014, Vishay declared a cash dividend of $0.06 per share of common stock and Class B common stock outstanding payable on December 16, 2014 to stockholders of record at the close of business on November 26, 2014. A copy of the press release announcing the dividend declaration is attached as Exhibit 99.1 to this report.
