Dear Sir(s),

This is to inform you that, pursuant to the provisions of Regulations 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (‘Listing Regulations’), we would like to inform you that at the recommendation of the Nomination and Remuneration Committee, the Board of Directors of the Company has considered & approved, subject to approval of the shareholders, the appointment of Mrs. Dolly Singhal (DIN: 10076068), as a Non-Executive Independent Additional Director of the Company w.e.f. February 25, 2025, holding office as a director not liable to retire by rotation, to hold office till the forthcoming Annual General Meeting of the Company, by passing circular resolution on February 26, 2025.

Further, as per SEBI Circular LIST/COMP/14/2018-19 dated June 20, 2018, the Company affirms that Mrs. Dolly Singhal, being appointed as a Non-Executive Independent Additional Director is not debarred from holding the office of director by virtue of any SEBI order or any other such authority.

Further, Mrs. Dolly Singhal is not disqualified from holding the office of director pursuant to the provisions of Section 164 of the Companies Act, 2013.

Mrs. Dolly Singhal has performance-driven, fair, empathetic, encouraging and energetic style of management and her philosophy of life is to always work hard smartly, and to keep knocking on the door of opportunity.

Further, the relevant disclosure required as per Regulation 30 of the Listing Regulations read with SEBI Circular No. SEBI/HO/CFD/CFDPoD1/P/CIR/2023/123 dated 13th July 2023, in terms of change in Director of the Company are as follows:
