Vide our letter dated May 20, 2026 we had intimated that an Extraordinary General Meeting ("EGM") of the Company will be held on Thursday, June 11, 2026 at 12:00 P.M. (IST) and the EGM would be held through VC / OAVM. Further, vide our letter dated May 20, 2026 we had filed the Notice convening the EGM with the BSE and NSE.

CORRIGENDUM TO THE NOTICE OF EXTRAORDINARY GENERAL MEETING OF THE SHAREHOLDERS OF VIP CLOTHING LIMITED

This Corrigendum is issued in continuation of the Notice dated May 18, 2026, convening the Extraordinary General Meeting ("EGM") of VIP Clothing Limited to be held on Thursday, June 11, 2026 at 12:00 Noon (IST) through Video Conferencing ("VC") / Other Audio-Visual Means ("OAVM"). The Notice of the EGM has already been circulated to the shareholders of the Company on May 20, 2026 in compliance with the provisions of the Companies Act, 2013 and the relevant rules framed thereunder. Except for the changes specified below in the Explanatory Statement forming part of the EGM Notice, all other contents of the Notice circulated to the shareholders shall remain unchanged.

Item 1:

In Point 2. Objects of the Issue

In the third paragraph below the table on Page 15 of 20 shall read as follows:

"Till such time the issue proceeds are fully utilized, the Company shall keep the same in bank deposits and/or other shorts terms funds deposits in scheduled commercial banks as permitted under applicable laws and as may be decided by the Board of Directors of the Company."

In Point 4. Pricing and Basis or justification for the price (including the premium, if any) that has been arrived

The updated Company website links under the Heading “Pricing and Basis or justification for the price (including the premium, if any) that has been arrived” on Page 16 of 20 shall be as follows:

(a) The Pricing certificate issued by Abhishek Wagh, Proprietor of M/s. The "Status of Investor Pre-issue" of Ms. Avyukta Kapil Pathare at serial no. 4 of the said table on Page 17 of 20 shall be read as "Promoter Group".

In Point 14. Certificate from Practicing Company Secretary:

In Point 16. Undertakings

The undertakings mention at points 16(d) and 16(e) shall be read as follows:

d) The Company shall re-compute the price of the warrants to be allotted under the Promoter and Non-Promoter Preferential Issue, in terms of the provisions of SEBI ICDR Regulations where it is required to do so;

e) If the amount payable on account of the re-computation of price is not paid within the time stipulated in the SEBI ICDR Regulations, the warrants to be allotted under the Promoter and Non-Promoter Category Preferential Issue shall continue to be locked-in till the time such amount is paid by the warrant holder.

This Corrigendum to the Notice of the EGM shall form an integral part of the Notice of the EGM which has already been circulated to the shareholders of the Company and on and from the date hereof, the Notice of the EGM shall always be read in conjunction with this Corrigendum. This Corrigendum is available on the website of BSE Limited (www.bseindia.com) and NSE (www.nseindia.com) and on the website of the Company https://www.vipclothing.in/investor.html#parentHorizontalTab8 .

All other contents of the Notice of the EGM, save and except as modified or supplemented by this Corrigendum, shall remain unchanged.
