PRESS RELEASE OF VIOHALCO SA

Brussels, November 26, 2021

The enclosed information constitutes regulated information as defined in the Royal Decree of 14 November 2007 regarding the duties of issuers of financial instruments, which have been admitted for trading on a regulated market.

Publication of transparency notifications

(Article 14, first paragraph, of the Law of 2 May 2007 on disclosure of major holdings)

1. Summary of the notifications

Viohalco has received three transparency notifications indicating that:

• (a) Mr. Nikolaos Stassinopoulos donated 6,192,663 Viohalco shares (representing 2.39% of Viohalco's total voting rights) to Mr. Michail Stassinopoulos, and 6,192,663 Viohalco shares (representing 2.39% of Viohalco's total voting rights) to Mr. Ippokratis-Ioannis Stassinopoulos, in total 12,385,326 Viohalco shares representing 4.78% of Viohalco's total voting rights. As a result, his holding of voting rights crossed downwards the threshold of 30% to 27.43% of Viohalco's total voting rights;
• (b) Mr. Ippokratis-Ioannis Stassinopoulos acquired, by reason of donation, 6,192,663 Viohalco shares, representing 2.39% of Viohalco's total voting rights. The voting rights attached to those shares add up to the voting rights which are already held by Mr. Ippokratis-Ioannis Stassinopoulos in his own name (12,091,105 voting rights, representing 4.66% of total voting rights of Viohalco) and to the voting rights for which he has been granted by the Board of the KIKPE Foundation, in his capacity as President of the Board, the exclusive power to exercise at his discretion, acting in the name and on behalf of the KIKPE Foundation (60,264,128 shares, representing 23.25% of total share capital and voting rights of Viohalco). As a result, the aggregated holding of voting rights of Mr. Ippokratis-Ioannis Stassinopoulos crossed upwards the threshold of 30% to 30.31% of Viohalco's total voting rights; and
• (c) Mr. Michail Stassinopoulos acquired, by reason of donation, 6,192,663 Viohalco shares, representing 2.39% of Viohalco's total voting rights. The voting rights attached to those shares add up to the voting rights which are already held by Mr. Michail Stassinopoulos in his own name (11,988,733 voting rights, representing 4.63% of total voting rights of Viohalco). As a result, the holding of voting rights of Mr. Michail Stassinopoulos crossed upwards the threshold of 5% to 7.01% of Viohalco's total voting rights.

According to its obligation under article 14 of the Belgian Law of 2 May 2007 on the disclosure of major holdings in listed companies, Viohalco publishes the content of the notifications received.

First Notification

The first notification dated November 26, 2021 contains the following information:

In relation to Section 10 (Notified details) it is noted:

Since 2015, Viohalco has undergone successive intra-group mergers by absorption [i.e. Sidenor (2015); Elval (2016)]. As a result of these mergers, Viohalco's total share capital was increased from 219,611,308 shares, in 2015, to 259,189,761, in 2021. Throughout this period, Mr. Nikolaos Stassinopoulos' voting rights decreased from 32.27% (which corresponded to 70,863,807 voting rights held in 2015) to 32.20% (which corresponds to 83,471,061 voting rights held in 2021.

On November 23, 2021, Mr. Nikolaos Stassinopoulos donated 6,192,663 Viohalco shares (2.39% of total voting rights) to Mr. Michail Stassinopoulos and 6,192,663 Viohalco shares (2.39% of total voting rights) to Mr. Ippokratis Ioannis Stassinopoulos, in total 12,385,326 Viohalco shares representing 4.78% of Viohalco's total voting rights.

As a result, the holding of voting rights of Mr. Nikolaos Stassinopoulos crossed downwards the threshold of 30% to 27.43% of Viohalco's total voting rights.

Second Notification

The second notification dated November 26, 2021 contains the following information:
