REALWISE HOLDINGS TO CONVERT NOTE INTO VINYL GROUP STOCK

Melbourne, Australia , April 26, 2024: Vinyl Group Ltd (ASX: VNL), Australia’s only ASX-listed music Company, is pleased to announce that RealWise Group Holdings Pty Ltd (“RealWise Group Holdings”) has elected to convert its convertible note into ordinary shares.

Following this week’s EGM where shareholders approved the option to convert the convertible note in full or in part by RealWise Group Holdings, the full principal balance of $6,955,413 will be converted into stock at a conversion price of $0.04482 per share, with 100% of the accrued interest on the note being waived by RealWise Group Holdings. The resulting conversion will see RealWise Group Holdings issued 155,185,475 ordinary shares, making it the largest shareholder of Vinyl Group with an approximate 34% holding.
