ITEM 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 18, 2023, Nabil Mallick informed the Board of Directors (the “Board”) of Vimeo, Inc. (the “Company”) of his decision to resign as a member of the Board and the Compensation & Human Capital Management Committee of the Board, effective immediately. Mr. Mallick’s decision was not based on any disagreement with the Company, its management, the Board or any committee of the Board.

“It’s been a privilege to serve on the Vimeo Board over the past two-and-a-half years,” said Mr. Mallick, a General Partner at Thrive Capital. “The Vimeo team has been and continues to be acutely focused on its mission of connecting us together through the video experience. I’m proud of the company’s accomplishments and, together with the Thrive team, look forward to the company’s future success.”
