Subject: Allotment of 6,13,150 (Six Lakh Thirteen Thousand One Hundred and Fifty) Equity Shares of Rs. 10/- each in lieu of exercise of 6,13,150 (Six Lakh Thirteen Thousand One Hundred and Fifty) Employee Stock Options granted to eligible employees of the Company in terms of “Vikram Solar Employee Stock Option Plan 2021”

In terms of Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“the Listing Regulations”) read with Schedule III to the Listing Regulations, we wish to inform you that the Nomination and Remuneration Committee through Circular Resolution passed today, i.e., November 14, 2025 have approved the allotment of 6,13,150 (Six Lakh Thirteen Thousand One Hundred and Fifty) Equity Shares towards the exercise of vested Options under the Vikram Solar Employee Stock Option Plan 2021.

Consequent to the aforesaid allotment, issued, subscribed and paid-up equity share capital of the Company stands increased from ₹ 361,71,70,310/- (divided into 36,17,17,031 equity shares of face value of ₹10/- each) to ₹ 362,33,01,810/- (divided into 36,23,30,181 equity shares of face value of ₹10/- each).

The details pursuant to Regulation 30 of the Listing Regulations read with SEBI Master Circular no. SEBI/HO/CFD/PoD2/CIR/P/0155 dated November 11, 2024 and Regulation 10(c) of the SEBI (Share Based Employee Benefits and Sweat Equity) Regulations, 2021 w.r.t. of the equity shares allotted under Vikram Solar Employee Stock Option Plan 2021 are given in “ Annexure-I ” and “ Annexure-II ”, respectively.
